Scale Investors Ltd (Scale Investors) has been established for the principal purpose of:

1. building and supporting a membership of investors and introducing them to investment opportunities provided by female entrepreneurs;

2. supporting female entrepreneurs by facilitating access to capital to start and/or grow their business on a commercial and profitable basis; and

3. undertaking related activities designed to develop, promote and encourage that purpose.

Scale Investors welcomes applications from Angel investors who are interested in, and who wish to make a

valuable contribution to, Scale Investors’ purpose.

On being accepted by Scale Investors as a Scale Angel, the Applicant will be able to participate in Scale Investors’

Angel investment-related activities including screenings, the investor forums and the Angel education program on

the terms set out in this Application Form.

Scale has partnered with VentureCrowd for managing the administration of investments. VentureCrowd will

onboard each of our investors and they will require each investor to qualify as a sophisticated investor as per

Australian regulations.

To be considered by Scale Investors, this Application Form will need to be signed by the Applicant and witnessed.

At the time of lodging this Application Form, the Applicant must also pay the current Application Fee.

By signing and lodging this Application Form with Scale Investors, the Applicant applies to be a Scale Angel and:

1. acknowledges and agrees that Scale Investors may accept or reject the Applicant’s application, and may accept

   the Applicant’s application subject to any such conditions that it considers necessary or desirable;

2. acknowledges and agrees that if Scale Investors accepts the Applicant ’s application, the Applicant will be entitled

   to participate in Scale Investor’s Angel investment-related activities (including screenings, the investor forums

   and the Angel education program) but does not become a member of Scale Investors and has no membershipstyle

   rights;

3. undertakes in favour of Scale Investors that if Scale Investors accepts the Applicant ’s application to be a Scale Angel, the Applicant will comply with the Codes of Conduct of Scale Investors, and will pay the Scale Angel Application Fee and (in respect of each Financial Year that the applicant seeks to continue to be a Scale Angel) any renewal fees advised by Scale Investors as they become due and payable;

4. acknowledges and agrees that if the Applicant refuses or neglects to comply with the Code of Conduct, or fails to pay any fees, or engages in conduct that is unbecoming of a Scale Angel or is prejudicial to the interests of Scale Investors, then Scale Investors will be entitled to exclude the Applicant from some or all of the activities of Scale Investors;

5. represents and warrants to Scale Investors that:

   5.1 it is, and will remain during the period of its participation in the activities of Scale Investors, a sophisticated investor within the meaning of section 708(8)(c) of the Corporations Act (Cth) 2001, on the basis that the Applicant has:

   a) net assets of at least AU$2.5 million; or

   b) a gross income for each of the last two financial years of at least AU$250,000 a year;

   5.2 it has not relied on any statement, opinion, estimate or forecast made by Scale Investors or any of its officers,

   shareholders, employees or advisors or contained in any document in respect of this application;

   5.3 the information contained in this Application Form (including the Applicant’s details) is true and correct;

6. acknowledges and agrees that this application and acceptance of the Applicant as a Scale Angel:

   6.1 is personal to the Applicant and may not be assigned

   6.2 is governed by the laws of Victoria, Australia.
